1. Acceptance of Terms

By accessing or using ScrybeX (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including licensed therapists, organization administrators, and any person who accesses the Service.

2. Description of Service

ScrybeX is an AI-powered clinical documentation platform that assists licensed rehabilitation therapists (SLP, PT, OT) in generating structured, Medicare-aligned clinical notes. The Service accepts voice dictation or typed input and produces documentation intended for review, editing, and approval by the licensed clinician before submission to any payer or EMR system.

3. Eligibility

The Service is intended for use by licensed healthcare professionals or their authorized representatives. By using ScrybeX, you represent that you hold an active professional license in your discipline or are authorized by a licensed professional to use the Service on their behalf.

4. Account Responsibilities

• Maintain confidentiality of your account credentials
• Notify us immediately of unauthorized access
• You are responsible for all activity under your account
• Provide accurate and current information
• No account sharing or credential misuse

5. Clinical Responsibility Disclaimer

ScrybeX is a documentation assistance tool, not a clinical decision-making system. All output must be reviewed, edited, and approved by the licensed clinician.

The clinician bears sole responsibility for accuracy, completeness, and compliance. ScrybeX does not provide medical advice, diagnosis, or treatment recommendations.

6. HIPAA and Protected Health Information

• Use only for legitimate clinical documentation
• Do not enter PHI into public-facing forms
• Comply with organizational HIPAA policies
• Report security incidents immediately

Organizations must execute a Business Associate Agreement (BAA) before using real patient data.

7. Subscription and Billing

• Subscription-based pricing
• 7-day free trial
• Auto-renewal unless canceled
• Cancel anytime via billing portal
• No partial refunds
• Pricing subject to change with 30 days notice

8. Acceptable Use

• No unlawful use
• No unauthorized access attempts
• No reverse engineering
• No fraudulent documentation
• No service disruption
• No reselling or sublicensing

9. Intellectual Property

ScrybeX and its content are protected by intellectual property laws. Documentation generated belongs to the clinician or organization.

10. Limitation of Liability

ScrybeX is not liable for indirect or consequential damages.

Total liability is limited to the amount paid in the previous 12 months.

11. Indemnification

You agree to indemnify and hold harmless ScrybeX from claims arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate access at any time. Rights to use the Service cease immediately upon termination.

13. Governing Law

Governed by the laws of the State of Arizona. Jurisdiction: Maricopa County, Arizona.

14. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance of updates.
